Welcome to Sidney Country Club as one of our newest members. This document will help you with the club’s rules, policies and practices. Remember that the Golf Shop staff is always available to assist you with any membership questions that may not be answered in this document. We appreciate your membership in our club and hope you enjoy your year and continued year’s at the club.
Golf Car Operation and Policies:
- Golf car rental fees are $10 for 9 holes and $13 for 18 holes per rider.
- Course maintenance fees are charged for any user of a private golf cart other than the current owner: Rates are $10 for 9 holes (per cart) and $15 for 18 holes (per cart). These must be paid each time a non cart owner uses a private golf cart.
- An annual fee of $250 can also be paid to use any private golf cart. (New in 2009)
- Members may also choose the annual cart rental option for $600.00 which allows family members 18 years of age or older to rent a cart. Carts may be used for 18 holes per day per membership and will not be available for tournament use. Annual cart leases expire on October 31st of each year. ($600 Annually or $115 per month-minimum of 5 months)
- Golf car operators must be a minimum of 18 years of age to operate a club owned rental cart and 15 years of age and holding a valid drivers license to operate a private cart. Children without a drivers license are not allowed to operate any golf cart (private or club owned at any time).
- Golf car travel is permitted on fairways of the golf course but is restricted to all cart paths where supplied. Please keep your golf cars on the concrete paths around the teeing grounds, starting at 50 yards from the greens, and on all par 3 holes. Please keep carts out of all restricted (roped off) areas especially on hole #9 where cart traffic is restricted to the cart path ONLY. Carts must remain at least 30 feet from all greens!
- The golf course superintendent may, from time to time, limit golf car traffic to the paths. When this occurs the regulation will be posted in the Golf Shop, and all players must keep their golf cars on the paths throughout the course.
- Golf cars are not allowed in the native (tall) grass areas throughout the course.
- The cost to repair damaged golf cars is the responsibility of the member or guest causing the damage, and repair costs will be billed to the respective member account
- Golf cars must be returned to the cart staging area at the completion of play.
- Please return golf cars to the staging area at least ½ hour before dusk in the evening; please refer to the posted time in the golf shop.
- Golf cars are discouraged from being driven in the parking lots around the clubhouse for the safety of the occupants, please use the bag drop whenever possible for all golf equipment. Please use caution when entering the parking lots with private golf carts.
- A maximum of two passengers and two sets of clubs are allowed per rental cart.
- Any property damage caused by the operation of a cart on Club property shall be the responsibility of the owner and the operator in the case of a private cart, and the lessee or operator in the case of a rental cart.
Golf Car Storage Costs and Policies:
- Cart spaces become available at times in both the Public and Private sheds at the club.
- Currently there is a waiting list to receive a space, and anyone interested in signing this list should contact the golf professional or accountant.
- A cart space contract must be completed and signed by each applicant for a storage space before it can be occupied.
- Annual rental fees shall be $175 for a private cart space and $125 for a public shed space.
Owners of electric carts shall pay a fee of $50 for electricity use for the season.
- A cart course maintenance fee will also be charged to all cart owners at a rate of $150 for the current listed owner and $250 for each additional non-owner user of a cart. A non-owner may also choose to pay a daily use fee at a rate $15 for 18 holes and $10 for 9 holes.
- Carts will be numbered according to each owner’s space beginning in 2009 and all cart owners who drive golf carts to course will be given a number as well signifying their approval for operation on the golf course.
- For current co-owners of golf carts there will be no transfer of joint cart space rights unless all renters have paid at least three years of cart & course maintenance fees. There will be NO new co-owner carts stored on club property after May 1st, 2008.
- When a current renter of a cart storage space sells their cart or resigns from membership the rental space does not go with sale of the golf cart automatically. ONLY rental spaces with a remaining balance of prepaid yearly rental from original purchase may be transferred to another member of the renter’s choosing. Such transfer MUST be reported to the club and a new cart space agreement must be signed by the new space occupant. In all other circumstances, cart spaces may only be transferred by virtue of the waiting list maintained by the board.
- Gas storage in any of the sheds is STRICTLY prohibited.
Registration and Golf Car Key:
- When you come to play, we ask that you come in the Golf Shop to register. The staff will also give you keys to the rental golf cars at that time if needed.
- Trail and cart fees must also be paid at this time upon registering.
- Rental cart keys must be returned immediately after the completion of the round.
Golf Course Dress Code:
- MEN: Slacks or Bermuda length shorts, denim (allowed) must be worn, and shirts are recommended to have a collar, but appropriate tee shirts will be allowed. Sleeveless shirts, tank tops, or no shirts will NOT BE ALLLOWED at any time on golf course or practice facilities. Golf shoes must have non-metal spikes, and flat-soled tennis shoes are permitted.
- WOMEN: Shorts and skirts must be no shorter than mid-thigh in length. Mid-riff tops, halter tops and tank tops are not permitted. Golf shoes must have non-metal spikes, and flat-soled tennis shoes are permitted. DENIM is acceptable in any form.
- JUNIORS: Boys and girls are held to the dress code for men and women as stated above.
Tee Times:
- Members may make a starting time either in person, or by telephone, one week in advance. Walk in play is welcomed, but subject to availability.
- When you are hosting guests, please inform the golf shop staff when you call who will be responsible for guest fees (member or guest).
- No groups larger than five players will be allowed on the course without prior permission of the Club Pro or pro shop personnel on duty.
- When the pro shop is open ALL players must check in to the pro shop prior to playing.
- Each player must have their OWN set of golf clubs when playing.
- Any current or prospective member that is not married but would like their significant other to play on their membership must first be referred to the Board of Directors for approval.
Guest Play:
- Non-members of the club are permitted to play at Sidney CC as many times as they wish but guest fees must be paid each time a round is played.
Guest fees are as follows:
Weekdays $55 per player/ 18 holes $32 per player/ 9 holes
Weekends and Holidays $55per player/ 18 holes $32 per player/ 9 holes
Guest of a Member $45 per player/18 holes $25 per player/9 holes
Twilight rate (after 6:30 p.m.) $25 per player/ rest of Day Winter rate (11/1 – 3/1) $15 per player/ Per Day (No rental carts available)
Guest fees may be charged to your member account, charged to a credit card or paid by cash.
Guests must adhere to the club’s dress code, and it is the responsibility of the member to inform guests of appropriate dress before their arrival.
- Members are permitted to entertain up to 23 guests per day with the approval of the golf professional staff. For groups exceeding 24 total players, approval must be requested in written form through the Pro Shop Committee.
Green Fee Pass Packages Now Available

- 10 Round Package ( 9 Hole Green Fee Package ) This package would allow the purchaser to play 10 – 9 hole rounds of golf with complimentary cart rentals for either 1 golfer for five rounds. Anyone may use the card but it does expire on October 31st of each golf season and any unused rounds of golf are lost. ($100.00 Discount). $320.00
- 10 Round Package (18 Hole Green Fee Package) This package would allow the purchaser to play 10 – 18 hole rounds of golf with complimentary cart rentals for 1 golfer for five rounds. Anyone may use the card but it does expire on October 31st of each golf season and any unused rounds of golf are lost. ($130.00 Discount). $550.00
- 20 Round Package (18 Hole Green Fee Package) This package would allow the purchaser to play 20 – 18 hole rounds of golf only. It is transferable and can be used by any number of golfers. This would be a great package for a golfer who is unsure of membership to club or offers a group of players a discount for golf. Anyone may use the card but it does expire on October 31st of each golf season and any unused rounds of golf are lost. ($111.00 Discount). $999.00 (This package does not include cart usage)
Golf Shop Hours of Operation: Summer (May-Sept) Winter (Oct-April)
- Monday thru Friday: 7:00 a.m. to 7:00 p.m. 9:00 a.m. to 5:00 p.m.
- Saturday and Sunday: 6:30 a.m. to 7:00 p.m. 9:00 a.m. to 5:00p.m.
Golf Course Hours of Operation:
- Monday thru Friday: 7:00 a.m. to dusk
- Saturday and Sunday: 6:00 a.m. to dusk
Reciprocal Course Play:
- SCC members have the opportunity to play additional private clubs. As a member of a private country club most private clubs in the United States will allow reciprocal play from you as a member onto their facility. Most often they will want the golf professional to make your tee times and there will be green fees charged for your play. Please contact the golf professional for more information.
SCC Golf Shop:
- The Golf Shop is your source for golf equipment, clothing and accessories at competitive prices. Merchandise is stocked for your convenience, and items not found in stock may be special ordered.
- Special order items will be billed at the time the order is placed.
- Merchandise credits may be used for any Golf Shop purchases, including special orders, but the order must be placed prior to October 1st each year.
- Unused merchandise credits expire December 31st each year.
- Merchandise credit balances are available in the Golf Shop.
- Demo golf equipment must be checked out and returned the day that it is used.
- Demo equipment that has not been returned within 48 hours will be billed to respective members account at member pricing marked on the club.
- Merchandise credits must be posted to a member’s account at the time of a special order in order to be used. Members MAY NOT use credits won to pay for a previous bill or special order.
Driving/Practice Range:
- Sidney CC has a premier practice facility, and we encourage you to take advantage of this outstanding resource. Range balls are available when the Golf Shop is open in the morning and until dark in the evening. Range tokens are available in the golf shop at the following costs:

- Range tokens are usable until November 1st, at which time they must be returned to golf shop as new token sizes are used each season and previous tokens will be unusable.
Bag Storage
- The club has a bag storage facility available for rent on an annual basis. Bag storage is $30 per bag/annually a speed cart will cost $10 per year until the storage room nears capacity at which time it will cost the annual bag rate.
- Bag storage is arranged through the golf shop staff.
Shoe & Private Cart Cleaning Services
- The pro shop staff will clean, polish and re-spike your shoes, this is a free service to those members who have purchased shoes with us during the current season, however tips are encouraged and appreciated, if you are not sure what to tip we have a guideline on the slips used to request work. There is a $6.00 fee for those members who have not purchased their shoes with us during the current calendar year.
- The golf shop staff will also provide cart cleaning services during the summer months from April 1st- September 31st. We will arrange to have your golf cart cleaned and polished and put back in either your private or public parking spot. Those members that drive their golf carts into the golf course may also make arrangements to have their golf carts cleaned. The cost for cart cleaning and polishing is $7.00 per cart. A sign up sheet will be located in the golf shop to arrange for cart cleaning.
Outside Services:
Our outside service staff is here as a convenience to the membership, their job includes bringing up and putting away carts, setting up and picking the driving range, handling and cleaning members clubs, and various other duties. They will be scheduled on weekend days, tournament and league days to assist member’s needs here at the club.
Tipping:
- We encourage tipping for our outside service employees when they have done a good job for you, remember at certain times of the year you will see fewer staff based on our budget. Any tipping that you feel is appropriate is greatly appreciated, services that you should consider a tip for include: carrying clubs, cleaning clubs, moving clubs from storage, setting up your cart, or anything that you feel is deserving of a tip.
- Please keep in mind that our outside staff is usually paid a low hourly wage and tips in this department are used to supplement that wage.
- Remember that the outside service staff is here to help you fully enjoy your day, please ask them for help.
Club Repair Services:
- Club repair is available through the Golf Shop. Simple repairs such as re-gripping can normally be completed within 24 hours. Re-shafting is normally completed within one week, unless shafts must be ordered.
- Warranty repair for defective clubs is coordinated through the Golf Shop, and the staff will make arrangements to have your warranty repairs completed through the respective manufacturer.
- Club repair charges can be paid by member charge, credit card billing or by cash payment.
- Merchandise credit cannot be used to pay for club repair.
Golf Lessons:
- The club currently retains one PGA professional that provides golf instruction for the membership: Jay M. Frank, PGA Head Professional. Individual lessons, lesson series and Junior Golf clinics are available.

Junior Golf:
- Junior Golf programs begin in May, and continue through the summer months. The programs are open to children and grandchildren of members aged 4 through 18. Clinics are provided for children of all playing abilities, and the Junior Academy is an enhanced, weeklong learning opportunity for the more advanced junior golfers offered in the spring (new) and again in late summer.
- Junior lessons will be provided on Wednesday mornings beginning at 8:00 AM and running until 10:30 AM with juniors divided into age groups.

Junior use of the Golf Course:
Juniors will always be encouraged by the professional staff. The following age guidelines will help parents and juniors understand course availability for the junior golfers:
- No one under the age of four will be allowed on the golf course at any time.
- Children aged four or five are allowed on the course before noon on weekdays and after 4:00 Pm on weekends and holidays. They must be accompanied by an adult and they must remain in golf cart during the play of every hole except on the tee box and green. Children in this age category are allowed to use the practice areas with full parental supervision.
- Children between the ages of 6-14 will be allowed to play on weekends and holidays but MUST be accompanied by an adult. If not with an adult they are only allowed to be on the course after 4:00 PM
- Single children of current members, under the age of 23 and serving in the armed forces, will be allowed to play under their parent’s membership.
- Family member’s children are able to play under parent’s membership until the age of 23 as long as they are fully supported by family member.
The golf shop will control all play this year. Juniors and parents must always check into the golf shop before play. Any decisions regarding play will be handled by the head golf professional.
Montana State Golf Association Handicap Services:
- Club members may establish handicaps through the MSGA for a fee of $20 per year. Handicaps are important and required for individuals who participate in leagues and tournaments. Anyone with a handicap at year end will automatically have their handicap renew unless they resign as member or notify the golf shop before March 1st, 2012.
- The MSGA offers “free” handicaps to junior golfers under the age of 18.
- Please sign up for all handicaps in the golf shop.
Associations:
- Ladies’ and Men’s golf associations are available to the membership. For a small charge, members of the associations will be eligible to participate in leagues and association tournaments.
- Association fees are used to enhance tournament purses.
Leagues:
- Ladies’ Day League is played on Thursday mornings at 9:30 AM.
- Ladies’ Evening League is played on Tuesday evenings at 5:30 PM.
- Couples’ Twilight League is played on Wednesday evenings the 1st,2nd and 4th Wednesday of each week and on the 3rd week will be held on Friday evenings at 5:30PM
- Men’s League is played on Thursday evenings at 5:30 PM.
- Senior Men’s League is played on Tuesday afternoon at 2:00 PM.
Couples night is restricted to persons at least 18 years of age or in the year of graduation from high school. Only one member per family or playing membership may play in men’s league. Additional family members may be a substitute, but must be at least 18 years of age or in the year of graduation from high school.
Tournament Entries and Cancellations:
- The club hosts many tournaments throughout the year for the enjoyment of the membership. A Tournament Handbook is produced each winter for the following year’s season, and is available to you. Tournament Handbooks may be picked up in the Golf Shop. Please keep in mind that changes to the tournament scheduling may occur, and updated information is available throughout the year.
- You may enter club tournaments by informing the Golf Shop staff that you intend to play. Please sign up as early as possible to insure your acceptance into the event, and to help the staff in their preparation. Our goal is to present professionally developed and administered tournaments, and early sign-ups are extremely helpful!
- If you have signed up for a tournament and must cancel, please do so at least 24 hours prior to the event’s starting time. If you have signed up for an event and fail to cancel within the appropriate timeframe, your account will be billed for the respective entry fee.
Charity and/or Corporate Outings and Outside Tournaments:
- The club hosts a few non-member events each year, and while most occur on an annual basis, from time to time open dates are available to the membership.
- To request a tournament date please submit your request, in writing, to the Pro Shop Committee. Please include information such as expected number of players, date requested, information about the group, etc.
- The Pro Shop Committee meets monthly, and all written requests are on the agenda for the next scheduled meeting. Requests to the Pro Shop committee may be e-mailed to the golf shop or delivered to the general manager of the club.

Beverage Car/Mulligan’s:
- During peak play times from (April – September), the club will either have a beverage cart or Mulligan’s House available for your convenience. Drinks, snacks, burgers, hot dogs and brauts are normally available for purchase at Mulligan’s.
- Please note that vending machines are located at the driving range and 7th hole of the golf course, and you can purchase soft drinks and bottled water at those locations.
- Beverage coolers are available at the clubhouse for member and guest use and all beverages (both alcoholic and non-alcoholic) must be purchased at the Sidney Country Club and are strictly prohibited from being carried on to the golf course or facility at any time.
Clubhouse and Policies:
Wedding Receptions
- Wedding reception rental fee: $250.00 for non-member, $150.00 for member.
- All wedding receptions if applicable must supply and set up own dance floor at the direction of Sidney Country Club staff.
- All wedding receptions subject to $500.00 damage deposit and are responsible for any and all damages and any theft of property to and from the interior of the clubhouse and to the grounds of the Sidney Country Club golf course including any additional charges should the damage exceed $500.00. Damage deposit will be returned upon verifying no damage no earlier than following day of event.
Food & Beverage Policy
- Sidney Country Club provides a full service menu from which to choose. Outside caters may not be used for any purpose other than specialty cakes.
Liquor Policy
- All state laws pertaining to the drinking age will be enforced and ID’s required when asked for. Weddings parties are not excluded from having ID’s checked.
- Our food and beverage staff reserves the right to refuse service to anyone.
- All beverages must be purchased from SCC; any beverages brought into the facility will be taken by SCC staff.
Menu Selections & Guarantees
- In the event of booking a private party menu selections are due 2 weeks in advance.
- A guaranteed number of guests are due 5 days in advance.
- Once we receive your guarantee, your number cannot be decreased but can be increased up until 1 day before your event.
- The guaranteed number is the number for which you will be charged even if fewer guest attend.
- You will also be charged for any additional meals served above the guarantee. We prepare for approximately 5% over your guaranteed count.
- Prices for food & beverages are not guaranteed until 60 days before your event due to fluctuations in the market.
Payment, Service Charge
- Payment is due the day of the event (unless other arrangements have been made with management).
- All food and beverage prices are subject to an 18% gratuity charge. The entire gratuity charge is distributed to employees who prepare, serve and manage your event.
Tipping:
- We encourage tipping for clubhouse employees when they have done a good job for you, remember at certain times of the year you will see fewer staff based on our budget. Any tipping that you feel is appropriate is greatly appreciated.
- Tips given to staff are pooled with all staff members and split daily as a group.
- Tips may be left on club charge slip but must be added by member at time of closing of bill.
- Please keep in mind that our staff is usually paid a low hourly wage and tips in this department are used to supplement that wage.
- Remember that the staff is here to help you fully enjoy your day, please ask them for help.
Decorations
- You may bring in candles for a centerpiece as long as they are in a container that will catch wax.
- CONFETTI & GLITTER ARE NOT PERMITTED. NO NAILS MAY BE USED.
- There will an additional fee for any damage and extra clean up that may be necessary.
Liability & Damages
- SCC shall not assume any responsibility for the loss of any personal items placed in our facility prior to, during or following an event.
Membership Accounts
- A service charge of 1 ½ % or $1.00 per month, whichever is greater, shall be charged on all accounts over 30 days old. Bills are due and payable on the 10th of the following month and will be delinquent 30 days from that date.
- If a member’s account is 60 days in arrears, they will not be allowed to play in any tournaments, leagues, or club events until the account is paid current.
- If a member’s account is 90 days past due all membership privileges will be suspended until member’s account is current.
- The club requires all members to spend a minimum of $30.00 per quarter (Jan-Mar, April-June, July-Sept, Oct – December) on food & beverage in the clubhouse. This amount is called a quarterly assessment or quarterly requirement and all members who have not spent the required amount will be billed (assessed) the balance up to $30.00. The club will track all spending by cash, check, or charge towards quarterly assessments. Should any member pay by cash, check, or credit card it is the member’s responsibility to notify the staff of your intent to track these sales towards your food&beverage minimums.
- The clubhouse restaurant is open for lunch service under the following schedule: From October 1st – through March 31st the club will be open from 11-2 for lunch service on Wednesday, Thursday, and Friday (Off-season). During the months of April 1st – September 30th the club will be open from Monday – Friday (In-season) from 11-2. We also will schedule a number of club dinners and specialty brunches to be served on weekends throughout the year.
- The club will issue separate bills in the Pro shop and Clubhouse. The pro shop bill will cover items purchased in the golf shop along with green fees, cart rentals, monthly dues, cart storage fees, and course maintenance cart fees. The clubhouse bill will consist of purchases in the restaurant and quarterly assessment charges if necessary. Members are encouraged to pay these bills separately if at all possible.
- Members wishing to resign membership must notify the club in writing. Members resigning are responsible for membership fees during current year to be fully paid. All outstanding membership bills will be deducted from membership certificate refund due to member including outstanding dues balance, cart fees, and pro shop or clubhouse bills. Certificate will be refunded no later than 60 days past the resignation date of current member resigning.
Holiday Gratuity Fund - Seasonally the club issues a notice to it's members asking for a voluntary minimal donation of $25 that is disbursed to employees of the Ground's, accounting, golf shop, and food & beverage departments. Each holiday season the club's board of directors issues holiday bonuses based on service and work ethic to the club in these departments and this fund helps support the board's disbursements. We encourage all members to support this contribution and if appropriate to add to the minimum of $25 if warranted.
Sidney Country Club Code of By-Laws
(as amended December 16th, 2007)
ARTICLE I -- CLASSES OF MEMBERS & MEMBERSHIPS
Section 1. Classes of Membership The membership of the club shall consist of five classes as follows:
1. Playing Membership 2. Family Membership 3. Social Membership 4. Student Membership 5. Junior Membership
Section 1A. Membership Certificates Beginning in 1999 and thereafter, all playing and family memberships must own a membership certificate, except as allowed in Section 2 of this Article. Membership certificates outstanding shall be limited to a maximum of four hundred and fifty (450). Membership certificate ownership by any individual shall be limited to one in number. Membership certificates will only be issued to individuals or jointly with a spouse and only as playing or family memberships, under the following terms:
- A) Issuance Price - Before such date that 450 membership certificates are outstanding, the issuance price by the Club for new membership certificates shall be as follows:
1. Prior to July 1, 1999 $500.00
2. July 1, 1999 through June 30, 2000 $600.00
3. July 1, 2000 through June 30, 2001 $700.00
4. July 1, 2001 through June 30, 2002 $800.00
5. July 1, 2002 through June 30, 2003 $900.00
6. July 1, 2003 and thereafter $1,000.00
- B) Payment Option - As an alternative to initial full payment of the issuance price, membership certificates may be purchased with up to five equal annual payments totaling 110% of the original issuance price, or up to ten equal annual payments totaling 120% of the issuance price. The first payment shall be due on the date of membership certificate issuance and each of the remaining annual payments shall be due by May 1 of the succeeding years.
- C) Redemptions by the Club - There shall be no restrictions on the number of membership certificate redemptions by the Club. Before such date that 450 membership certificates are outstanding, the redemption price will be equal to the amount of the original issuance price that has actually been paid to the Club for such membership certificate. After such date that 450 membership certificates are outstanding, the redemption price will be a minimum of $1,000.00.
- D) Transfers - Only after such date that 450 membership certificates are outstanding, membership certificate transfers will be allowed in accordance with Section 8 of this Article.
Section 2. Voting, Property, and Golfing Rights Only ONE vote can be cast per membership certificate outstanding at any regular, annual, or special meeting of the Club. Only a membership certificate owner shall be entitled to vote or become a director of the Club. No class of membership shall have any right, title, or interest in the property or assets of the Club in the event of dissolution or otherwise. A playing, family, student, or junior membership shall be entitled to use of the clubhouse and golf course. A social membership shall be entitled to use of the clubhouse only.
All fully paid playing and family members as of December 31, 1998 shall have the right to continue to pay annual dues without purchasing a membership certificate. This right shall continue until December 31, 2003 or December 31 of such year that 450 membership certificates are outstanding, whichever may be later. Non-payment or delinquency of dues, as defined in Section 3 of Article II, shall cause such member to permanently forfeit this right. Such non-certificate owning members shall enjoy all the privileges of membership except the right to vote at any Club meeting or serve on the Board of Directors.
Section 3. Playing Memberships A playing membership shall consist of an individual or husband and wife owning a membership certificate who shall have paid the full playing membership dues and have been duly elected to such membership in accordance with these by-laws.
Section 4. Family Memberships A family membership is a playing membership which includes children up to age 23, regularly enrolled in a full-time educational institution, who are financially dependent upon the member.
Section 5. Social Memberships A social membership shall consist of such persons who shall have paid the full social membership dues and have been duly elected to such membership in accordance to the by-laws.
Section 6. Junior and Student Memberships A student membership shall consist of such persons who are no older than 23 and are regularly enrolled in a full-time educational institution for a minimum of one consecutive year and whose yearly application for such membership is approved by the Board of Directors. A junior membership shall consist of such persons who are no older than 18 and whose yearly application for such membership is approved by the Board of Directors.
Section 7. Membership Privileges Members of the immediate family of any family or social member, who are financially dependent upon the member, may enjoy the same privileges as the member, subject to such rules and regulations the Board of Directors may adopt.
Section 8. Membership Application All applications for new membership certificates or membership certificate transfers shall be signed by the applicant and shall be sponsored by a current membership certificate owner. All applications for membership shall be referred to the Board of Directors. No applicant for membership shall be denied membership due to the applicant’s religion, race, color, national origin, sex, or marital status. The Board of Directors shall act upon such applications and such action shall be secret and final. Two (2) negative votes of the Board of Directors shall exclude any applicant from membership. No person failing election shall be again proposed for membership until the expiration of one (1) year from the time of action. The Board of Directors will consider no application for membership whose approval would cause the number of membership certificates outstanding to exceed 450 in number.
Section 9. Termination of Membership Any member guilty of any misconduct or conduct injurious and prejudicial to the Club, or shall violate the by-laws or rules of the Club, may be expelled or suspended from the Club by the affirmative vote of not less than four (4) members of the Board of Directors. Before any member can be suspended or expelled, ten (10) days written notice that such action will be taken shall be personally delivered to the member if practicable. In the event that personal delivery of said notice is impracticable, the notice may be deposited to the member’s last known address. Such members shall be given opportunity to appear before the Board of Directors at the time and place mentioned in said notice if desired. Any person who, for any cause, shall cease to be a member, shall immediately thereafter forfeit all membership privileges, and the membership certificate of such member shall be immediately redeemed at an amount in accordance with Section 1A of this Article.
Section 10. Armed Forces Any member called to active duty in the Armed Forces of the United State may have the payment of dues temporarily suspended during time on active duty and stationed outside of Richland County, upon making request to the Board of Directors for such permission. Any such member and immediate family will be entitled to all Club privileges during the period of such suspension, at the discretion of the Board of Directors.
ARTICLE II - YEARLY DUES AND PENALTY FOR FAILURE TO PAY
Section 1: Basic Membership Dues Members shall pay yearly dues as follows:
1. Playing membership $815.00 2. Couples Membership $860 2. Family membership $915.00 3. Social membership $150.0 4. Student membership $200.00 5. Junior membership $180.00
Section 2. Dues, Fees & Assessments Membership fees, assessments and yearly dues may be raised or lowered by an affirmative vote of a majority of votes cast at any annual or special meeting of the Club called for said purpose and written notice having been sent in accordance with Article III, Sections 1 & 2. All voting done shall be by secret ballot.
Section 3. Payment of Dues and Penalty for Failure to Pay Annual dues for the calendar year shall be payable in advance on January 1st, however, policies for payments on membership dues may be established by the Board of Directors. Prior to January 1st, a notice of the amount of dues payable shall be sent to each member at the member’s last known address on the records of the Club. When the dues of any member remains unpaid and is not considered current on a plan of dues payment approved by the Board of Directors by April 1st, the name of such member shall be posted as delinquent on the bulletin board of the Club until such dues shall be paid current and all membership privileges shall be suspended automatically. When the dues or membership certificate payment of any members, including non-certificate owning members, shall remain unpaid on May 31st, such member shall have his/her membership and its privileges revoked, and may be reconsidered for membership according to the membership application procedures in these by-laws. The membership certificate of such member, if any, shall be immediately cancelled and redeemed in accordance with Section 1A of Article I, however, any indebtedness owed to the Club by such member may be deducted from any certificate redemption refund. The membership certificate annual payment option referred to in Section 1A of Article I shall not be made available to such individual upon reapplication.
Section 4. Absentee Voting Attendance at annual or special meetings shall not be required for those membership certificate owning members who are unable to attend such meetings, however, said members shall have the opportunity to vote by secret ballot on any issue regarding membership fees, assessments, and yearly dues provided that said proposals comply with Article III, Sections 1 & 2.
ARTICLE III - MEETING AND ELECTIONS
Section 1. Annual Meeting The annual meeting of the Club will be held at the clubhouse on the third Sunday in November, at 2:30 p.m., or at any time or date designated by the Board of Directors. The Secretary shall give ten days notice by mail of the date, hour, and place of the annual meeting to every member at his/her last post office address as the same appears upon the records of the Club.
Section 2. Special Meetings The President may, and upon the request of the majority of the Board of Directors or fifty (50) membership certificate owning members of the Club, call a special meeting by mailing notice of the date, hour, and place of the special meeting at least ten (10) days in advance thereof. Such call shall set forth the purpose of the meeting and no business other than that specified in the call and notice shall be transacted.
Section 3. Quorum Twenty-five (25) membership certificate owning members in good standing shall constitute a quorum at any annual or special meeting of the Club.
Section 4. Nominating Committee During the month of September of each year, the President shall appoint a nominating committee which shall consist of two (2) members of the Board of Directors and three (3) membership certificate owning members of the Club at large. Such committee shall not nominate less than two (2) candidates for each vacancy among the Board of Directors to be filled at the ensuing election, and said list of nominees shall be posted on the Club bulletin board before October 15th. Nominations for the Board of Directors may also be made by ten (10) or more membership certificate owning members in good standing and such nomination shall be presented to the secretary in writing and signed not less than twenty (20) days before the date of the annual election. Such nominations shall thereupon be posted upon the Club bulletin board.
Section 5. Ballot The Secretary shall mail written ballots to all playing and family certificate owning members at least ten (10) days prior to the annual meeting. Such ballots shall contain thereon the names of all the candidates for the Board of Directors and shall be in such form as the Board of Directors may determine. All ballots mailed to or received by any officer or member of the Board of Directors prior to or at the annual election shall be counted.
Section 6. Elections The President, at the annual election, shall appoint tellers who shall receive and count the ballots cast, after which the results shall be made known to the members present.
ARTICLE IV - GOVERNMENT
Section 1. Board of Directors The control and management of the Club and its affairs and properties shall be entrusted to a Board of Directors consisting of seven membership certificate owning members which shall include the President, Vice-President, and Secretary-Treasurer. A husband and wife who are joint membership certificate owners may not serve on the Board of Directors at the same time. The Secretary-Treasurer may or may not be a member of the Board of Directors.
Section 2. Tenure of Office The term of office for each director shall be three (3) years. In any three year period, two directors shall be elected the first year, two directors elected the second year, and three directors elected in the third year. All tie votes shall be resolved by vote of membership certificate owning members present. Directors shall serve until duly succeeded by properly elected directors.
Section 3. Vacancy Any vacancy on the Board of Directors shall be filled by a majority of the remaining directors at any regular meeting of the Board or at any special meeting specifically called for such purpose, and the director so appointed to fill the vacancy shall serve until the next annual meeting at which time the Club shall elect a member by ballot to serve the unexpired term, if any.
Section 4. Meetings of the Board The regular meeting of the Board of Directors shall be held at the clubhouse or at such other convenient place as may be designated on the first Tuesday of each month or as determined by the Board. Board meetings shall be open to all membership. Special meetings of the Board of Directors may be called at the request of the President or any two (2) of the directors upon at least three (3) days notice, either oral or in writing, being given to each director of the time and place of such meeting.
Section 5. Quorum A majority of the Board of Directors shall constitute a quorum.
Section 6. Duties and Powers In addition to and not in restriction or limitation of the usual powers of like bodies, the Board of Directors shall have the power to fill a vacancy that may occur in any office of in the membership of the Board of Directors until the next succeeding annual meeting or until a successor is elected and qualified, make and amend rules for the use of the Club by its members for their conduct while in the clubhouse and on the grounds, to adopt regulations not inconsistent with these by-laws, that they may deem necessary, and to fix and impose penalties for the violations of the by-laws and rules.
Section 7. Committees The President shall appoint committees as deemed necessary for the better execution of the Club activities and duties. The committees so appointed by the President shall perform such duties as the President and the Board of Directors designate.
Section 8. Annual Report The Board of Directors shall present to the Club at each annual meeting a report as to the condition of the Club, its property, and an account of the financial transactions of the past year. The Directors may require an annual review of the books of the Club by a firm selected by the Board of Directors, and such review shall be incorporated in the annual report. An audit of the books is required after any change in the Club Manager position.
ARTICLE V - OFFICERS
Section 1. Officers The officers of the Club shall be a president, vice-president, and secretary-treasurer who shall be elected by the Board of Directors at a meeting during December of each year subsequent to the annual meeting of members. All officers, with the exception of the secretary-treasurer, must be members of the Board of Directors. Officers shall hold their respective office for one year, or until their successors are elected and qualified.
Section 2. Duties of the Officers President: The president shall preside at all meetings of the Club and of the Board of Directors, and shall have general supervision over the affairs of the Club, its property and employees. By and with the approval of the Board of Directors, the president shall make and execute all contracts on behalf of the Club; provided, however, in no case shall the president be authorized to enter into any contracts, exclusive of employment agreements, written or implied, for which must be paid a sum per item exceeding $25,000.00, or contracts for the sale of Club property having a value greater than $10,000.00. Such contracts must first be submitted and approved by a majority of voting memberships present at any annual or special meeting. Immediately after the election of officers each year, the president shall appoint the officers of the Club.
Vice-President: In the absence of the president, the vice-president shall perform the president’s duties. Shall neither be present at a meeting, a chairman shall be selected by those present.
Secretary-Treasurer: The secretary-treasurer shall keep the records of the meetings of the Club and of the Board of Directors, and shall perform such other duties as may from time to time be fixed by the Board. The secretary-treasurer shall mail notices of all meetings of the Club and of the Board of Directors, thereof, as provided by the by-laws, and shall conduct all correspondence, except that pertaining to other officers. The secretary-treasurer shall bill all members for any indebtedness owed to the Club and shall collect and discharge the funds as directed by the Board. The secretary-treasurer shall keep the accounts in books belonging to the Club, which shall at all times be open to the inspection of the Board of Directors, to whom shall be submitted monthly reports of money received and paid out, and the amounts of funds on hand.
Section 3. Director and Officer Indemnification The Club shall indemnify each director and officer of the Club, including former directors and officers, against any claim, demand, action, suit, or proceeding (excluding those arising from such person’s criminal act, willful misconduct, or improper personal benefit) made because of such person’s office in the Club, against expenses (including reasonable attorney fees), judgments, penalties, and amounts paid in settlement actually and reasonably incurred by such person in connection with such claim, demand, action, suit or proceeding. This indemnification shall inure to the benefit of the heirs and personal representatives of such person and shall include matters occurring prior to the adoption of this provision.
The Club may maintain insurance to provide this indemnity or may maintain coverage beyond the terms of the indemnity. Any question about whether a specific circumstance is excluded from this indemnity shall be resolved by the Board of Directors.
ARTICLE VI - INTERPRETATION
Section 1. By-laws and Rules Interpretation The Board of Directors shall decide all questions of interpretation of the by-laws or rules of the Club.
Section 2. By-laws Committee The Board of Directors shall appoint seven (7) members to a by-laws committee on an annual basis. The by-laws committee shall review all by-laws as necessary and shall be responsible for reviewing and researching any by-laws recommendations to the Board of Directors regarding any proposed by-law changes.
ARTICLE VII - AMENDMENTS
Section 1. Amendments These by-laws may be altered or amended at any regular or special meeting of the Club by an affirmative vote of a two-thirds majority vote of votes cast, except for changes in membership fees, assessments and yearly dues as provided in Article II, Section 2..
Section 2. Notice At least ten (10) days written notice of any special or regular meeting at which a proposed amendment is to be voted upon shall be given by the secretary of the Club to all membership certificate owning members; such notice shall specify the time and place of the meeting and the proposed amendment to be voted upon.
Section 3. By-laws Changes Any proposed by-laws change proposed from any membership certificate owning member shall be presented in writing to the by-laws committee at least sixty (60) days prior to the annual meeting.
ARTICLE VIII - RESTRICTIONS ON MEMBERSHIP CERTIFICATE FUNDS
Section 1. Restrictions on Membership Certificate Funds Prior to the payoff of the course expansion loan, no funds from the issuance of membership certificates or the investment earnings thereon shall be used for purposes other than course expansion loan repayment or the redemption of membership certificates, without prior approval of the lender(s), the Board of Directors, and the membership certificate owning members.
After the payoff of the course expansion loan, approval will be required from the membership certificate owning members for any expenditure, other than membership certificate redemptions, of membership certificate funds including investment earnings accrued during the term of the loan repayment. Investment earnings subsequent to payoff of the course expansion loan shall not be restricted.
Know by all persons by these present, that we, the undersigned, being directors of the Sidney Country Club, do certify that the foregoing Code of By-Laws constitute the Book of By-Laws of the said corporation and the said By-Laws were duly adopted at a meeting of the Board of Directors of said corporation, and were further amended, approved, and adopted by the members of said corporation at an annual meeting held on the 16h day of December, 2007, and that the same do now constitute the By-Laws of said corporation.
